Welcome to Zonobol, an all-in-one e-commerce management platform. These Terms and Conditions (“Terms”) govern your use of Zonobol’s software, website, and services. By accessing or using our products or services, you agree to be bound by these Terms. If you do not accept these Terms, please refrain from using our services.

1. Definitions

  • “Zonobol,” “we,” “us,” or “our” refers to the provider of the Zonobol software and related services.
  • “Client,” “User,” or “You” refers to the individual or entity using Zonobol services.
  • “Platform” refers to the Zonobol web application, mobile app, and related tools and services.
  • “Software” includes the source code, design, logic, database structure, and all functional components of Zonobol.

2. Acceptance of Terms

By registering, installing, accessing, or using Zonobol, you agree to comply with these Terms. These Terms apply to all users, including resellers, developers, and business owners.

3. Eligibility

To use Zonobol, you must:

  • Be at least 18 years old or have the legal capacity in your jurisdiction.
  • Provide accurate, current, and complete registration information.
  • Comply with these Terms and applicable laws and regulations.

4. Services Provided

Zonobol is a SaaS-based solution offering:

  • E-commerce website and store management
  • Product, order, inventory, and courier integration
  • Customer and employee management (CRM, HRM)
  • Marketing tools including bulk SMS, landing pages, and blogs
  • Payment gateway integrations
  • Automated invoice and reporting system

5. Pricing and Payment

  • Zonobol services are offered under different pricing plans based on feature access.
  • Payment is required in advance unless otherwise agreed upon in writing.
  • Failure to pay may result in suspension or termination of your access.
  • All prices are in Bangladeshi Taka (BDT) unless stated otherwise and are exclusive of applicable taxes.

6. Refund Policy

  • All subscription payments are non-refundable.
  • We do not offer refunds for unused periods, downgrades, or account inactivity.
  • Exceptions to the refund policy may apply only with written agreement.

7. Licensing and Usage

  • Zonobol provides a non-exclusive, non-transferable license to use the software based on your subscription plan.
  • We do not provide the source code of Zonobol or any of its components under any plan or service.
  • Clients are permitted to use and customize the platform for internal business operations only.
  • You may not:
    • Sell, distribute, sublicense, or reproduce the software or any portion thereof
    • Reverse-engineer or attempt to extract the source code
    • Use Zonobol to build a competing platform
  • Violations will result in immediate termination and legal action under Bangladeshi law.

8. Customization & Development

  • If you request custom features or modules, they may be delivered under a custom license for internal use only.
  • You may use and modify such custom features but cannot resell or redistribute them in any form.
  • Zonobol reserves the right to reuse non-client-specific modules or improvements across other clients.

9. Data and Privacy

  • Clients are responsible for the data entered and managed via Zonobol.
  • We do not access your data without your explicit consent, except for troubleshooting or compliance purposes.
  • We follow reasonable security practices to protect your data.
  • Clients are responsible for ensuring GDPR, CCPA, or relevant data law compliance where applicable.

10. Support and Maintenance

  • Basic support is included via email, chat, or ticket system during business hours (Bangladesh Time).
  • Major issues are handled within 24-72 hours based on severity.
  • Custom support packages may be offered under an SLA.

11. Account Suspension & Termination

  • We reserve the right to suspend or terminate accounts for:
    • Non-payment
    • Violation of these Terms
    • Abuse or misuse of services
  • Upon termination, your access to the platform and your data may be removed after 7 days unless otherwise requested.

12. Intellectual Property

  • Zonobol and all associated software, logos, designs, trademarks, and content remain the sole property of Zonobol.
  • Clients retain ownership of the data and media they upload.

13. Prohibited Activities

  • You agree not to:
    • Use Zonobol for fraudulent, abusive, or illegal activities
    • Send spam, threats, or malware via the platform
    • Access or attempt to access other users' data or accounts
    • Modify, disable, or interfere with platform performance or security

14. Limitation of Liability

  • Zonobol shall not be liable for:
    • Loss of business, revenue, or data due to service interruption
    • Third-party service failures or integration issues
    • Delays or failures caused by factors beyond our control (e.g., force majeure)
  • Our maximum liability is limited to the amount paid by you in the past 3 months.

15. Indemnification

You agree to indemnify and hold harmless Zonobol, its developers, agents, and affiliates against any claims, liabilities, or expenses arising out of your use of the platform or your violation of these Terms.

16. Changes to the Platform

Zonobol may update, modify, or discontinue features or services at any time. We strive to notify clients in advance of major changes affecting functionality or availability.

17. Changes to Terms

We may revise these Terms from time to time. Updated versions will be posted on our website. Continued use after changes implies your acceptance of the revised Terms.

18. Legal Compliance

  • Zonobol operates under the laws of the People's Republic of Bangladesh.
  • Violations involving unauthorized software distribution, piracy, or intellectual property theft will be prosecuted under relevant Bangladeshi laws including the Copyright Act 2000.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of Bangladesh. Any disputes shall be resolved under the exclusive jurisdiction of the courts located in Dhaka.
